By accessing or using ProSeAI (the "Service") at https://proseai.org, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or an in-app notice.

ProSeAI is a software-as-a-service (SaaS) platform that provides AI-assisted legal research tools, document drafting templates, procedural guidance, and case management features for self-represented litigants (pro se) and legal professionals. The Service includes:

- Win Probability Calculator and Case Cost Analyzer
- Deposition Outline Generator and Settlement Valuation Tool
- Deadline and court date calendar management
- Pro Bono Attorney Directory
- Case File Analyzer and Precedents Library

THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. All content, AI-generated responses, documents, analyses, and outputs provided by ProSeAI are for informational and educational purposes only. They do not constitute legal advice, legal opinions, or the practice of law, and they do not create an attorney-client relationship between you andProSeAI or any of its personnel.
Legal matters are complex and fact-specific. AI-generated content may be inaccurate, incomplete, outdated, or inapplicable to your specific jurisdiction or circumstances. You should always verify any information with official court sources and consult a licensed attorney before taking any legal action or relying on any output from this Service.

4. User Accounts and Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years of age to use this Service. By creating an account, you represent and warrant that you are 18 years of age or older. We reserve the right to terminate accounts of users who provide false information or violate these Terms.
5. Subscription Plans and Billing
ProSeAI offers the following subscription tiers:

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as described in our refund policy below. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Attorney Plans: Attorney Basic and Attorney Pro plans are scheduled to launch in June 2026. Interested attorneys may reserve a spot on the waitlist at proseai.org/pricing. Subscribers will be notified prior to launch and will have the opportunity to confirm their subscription at that time.
Cancellation: You may cancel your subscription at any time through the Billing & Payments section of your dashboard or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.
Refunds: We offer a 7-day money-back guarantee for first-time paid subscribers. Refund requests must be submitted within 7 days of the first charge to [email protected]. Subsequent billing periods are non-refundable.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or court order
- Harass, threaten, or harm any individual or group
- Generate fraudulent, misleading, or defamatory content
- Impersonate any person, entity, or licensed attorney
- Attempt to reverse-engineer, scrape, or copy the Service
- Use the Service to file frivolous or vexatious litigation
- Share your account credentials with others
- Use automated tools to access the Service in bulk without authorization
- Upload malicious files, viruses, or harmful code
We reserve the right to suspend or terminate accounts that violate this policy without notice or refund.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by ProSeAIand are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Your Content: You retain ownership of any documents, case information, or other content you upload or create using the Service ("User Content"). By using the Service, you grant ProSeAI a limited, non-exclusive license to process and store your User Content solely to provide the Service to you. We do not sell or share your User Content with third parties for marketing purposes.
AI-Generated Content: Documents and outputs generated by the AI are provided for your personal use. You may use, modify, and file AI-generated documents as permitted by applicable court rules, but you remain solely responsible for reviewing and verifying all content before use.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. PROSEAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
AI-generated content may contain errors, omissions, or outdated information. You assume all risk associated with your use of AI-generated outputs.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSEAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless ProSeAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be submitted to informal negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may export your data before termination by contacting [email protected].
